I agree to these Terms & Conditions: This Agreement contains the complete terms and conditions between us, (textit), and the person/s (the Company) detailed in the registration form. Signing and submitting this Agreement as set forth below constitutes your acceptance of the terms and conditions of this Agreement, and will be a legally binding agreement between you and us. 1. GENERAL 1.1. textit provides Internet based SMS services which are accessed via a secure console with unique access for each specific client, where applicable. 1.2. textit services include the provision of one (1) or more phone numbers unique to the specific SERVICE detailed in this Agreement, where applicable. 1.3. textit features and the functionality covered by this Agreement are detailed in the PRODUCT section of the textit website www.textit.com.au - where applicable. 1.4. textit will provide training assistance and support as required. 2. LEGAL PRECONDITION 2.1. The Company agrees to comply with all laws, restrictions and prohibitions relating to SMS messaging, including SPAM. SPAM will not be tolerated and will result in account being closed immediately. 2.2 textit will not be held legally responsible for the SMS message content distributed via the textit SMS gateway. 3. APPLICATION FOR SUPPLY OF SERVICE 3.1. To qualify for use of any textit service / s, you must submit a completed - sign and fax to the number provided. 3.2. textit may reject the application if determined by textit, in its sole discretion, that the intended use is not suitable. Reasons may include, but are not limited to the use or content that is in any way unlawful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable. 3.3. textit reserves the right to terminate the Agreement for misuse of the service. 3.4. textit shall not be held responsible or liable for any loss of income, or loss of the ability to produce income, incurred; even if such losses should arise from the inability of textit to deliver the Service for any reason whatsoever, whether textit is at fault or whether a third party is at fault. 4. OBLIGATIONS OF TEXTIT 4.1. textit will provide all functionality, features and services pertaining to the chosen textit application that are current at the commencement date of the Agreement and for the term of the Agreement. 4.2. textit may with the approval of the Company (client) add extra features or modifications to a textit application during the term of the Agreement. 5. OBLIGATIONS OF THE COMPANY 5.1 textit shall under no circumstances be held liable for, and the Company shall indemnify, defend and hold textit harmless against any and all claims asserted against textit by reason of the Company's marketing and promotional efforts. 6. ACCOUNT STATEMENTS 6.1. All transaction records will be available in the textit console Reports module. An electronic invoice/statement that specifies the calculations and the sum to be paid will be emailed at the end of the monthly billing period. A written statement can be provided on request, and when managed services are required. 6.2. The Company agrees to pay within 30 days invoice being issued the fees owing. 7. TERM 7.1. The term of this Agreement will begin on the commencement date specified in this Agreement and continue until textit is notified by the Company, or terminate on the specified finish date for a fixed term contract. A fixed term agreement can be extended with notice of the new termination date advised via email. 7.2. At any time, textit may immediately terminate this Agreement, with or without cause, by giving the other Party (the Company) written notice of termination, where such notice may be served via fax or e-mail. Upon the termination of this Agreement all access to the textit console will be removed. 8. LIMITATION OF LIABILITY 8.1 textit will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data arising in connection with this Agreement. 9. CONFIDENTIALITY 9.1 Confidential and sensitive information shall remain strictly confidential and secret and shall not be utilized, directly or indirectly for any purpose except and solely to the extent that any such information is generally known or available to the public or if the same is required by law or legal process. 10. INDEPENDENT INVESTIGATION 10.1 The Company acknowledges to have read this Agreement, have had an opportunity to consult with its own legal advisors if so desired, and agree to all its terms and conditions.
